These terms are the agreement between you and ARC for using this site and our services. We've kept them as plain as the law allows — please read them before you join the waitlist or place an order.

By accessing or using the ARC website ("Site") or any of our services, you agree to be bound by these Terms of Service and by our Privacy Policy. If you don't agree, please don't use the Site.

— 02 —Eligibility

You must be at least 18 years old to use the Site, join the waitlist, or purchase our products. By using the Site, you represent that you meet this requirement and that the information you provide is accurate and current.

— 03 —Waitlist & early access

Joining the waitlist reserves your interest in ARC Nightly — it is not a purchase and does not guarantee availability, a specific price, or a place in any founder's group. Early-access spots, pricing, and quantities are limited and offered at our discretion. We'll contact you using the email you provide; you can leave the waitlist at any time.

— 04 —Orders & pricing

• All prices are shown in U.S. dollars and may change before launch.
• Placing an order is an offer to buy; we may accept or decline it, including for suspected errors, fraud, or stock limits.
• We reserve the right to correct pricing or description errors even after an order is submitted, and to cancel affected orders with a refund.
• Any returns, refunds, or subscription terms will be described at the point of sale and form part of these Terms.

The Site and its content — including text, design, graphics, logos, the ARC name and wordmark, and all related marks — are owned by ARC or its licensors and are protected by intellectual property laws. You may view and use the Site for personal, non-commercial purposes. You may not copy, reproduce, distribute, or create derivative works from any part of it without our prior written permission.

When using the Site, you agree not to:

• Use it for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to the Site, its systems, or other users' data.
• Interfere with or disrupt the Site, including introducing malware or excessive automated requests.
• Scrape, harvest, or misuse content or personal information from the Site.
• Impersonate any person or misrepresent your affiliation with anyone.

The Site may link to third-party websites or services we don't control. We provide those links for convenience only and are not responsible for their content, policies, or practices. Your use of any third-party site is at your own risk and governed by that site's terms.

The Site and our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete or current.

To the fullest extent permitted by law, ARC and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Site or our products. Our total liability for any claim relating to the Site or a product will not exceed the amount you paid us for the product giving rise to the claim, or one hundred U.S. dollars ($100) if no purchase was made. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

You agree to indemnify and hold harmless ARC from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

— 12 —Governing law & disputes

These Terms are governed by the laws of the United States and the State in which ARC is organized, without regard to conflict-of-laws principles. Any dispute will be resolved in the courts located there, and you consent to their jurisdiction — unless applicable law grants you the right to bring a claim elsewhere.

We may update these Terms from time to time. When we do, we'll revise the "last updated" date above. Your continued use of the Site after changes take effect means you accept the revised Terms.
